Terms of Service
These Terms of Service govern the use of the website kolonell.com and the services offered by Kolonell, a digital agency based in Dakar, Sénégal.
1. Purpose
These Terms of Service define the conditions under which Kolonell provides its web création, application development, e-commerce, marketplace and institutional website services to its clients. Any order for services implies full and complete acceptance of these conditions.
2. Services Offered
Kolonell offers the following services:
- Création of showcase and institutional websites
- Development of online stores (e-commerce)
- Design and development of marketplaces
- Institutional websites for large companies and organizations
- Search engine optimization (SEO) and digital marketing
- Website maintenance and hosting
- Digital strategy consulting
- SaaS application development
3. Pricing and Payment
Our service prices are listed in CFA Francs (FCFA) and Euros (EUR). Quotes issued by Kolonell are valid for 30 days from their date of issue.
Payment Terms
- Deposit: 40% of the total amount upon signing the quote
- Intermediate: 30% upon validation of the mockup
- Balance: 30% upon project delivery
Accepted Payment Methods
- Wave
- Orange Money
- Bank transfer
- Credit card (via Stripe)
Any late payment automatically incurs late penalties calculated at a rate of 1.5% per month of delay.
4. Intellectual Property
Upon full payment of the agreed price, the client becomes the owner of the elements specifically created for their project (design, custom content, specific code).
Kolonell retains ownership of its tools, frameworks, libraries and reusable components developed independently of the client project. Kolonell reserves the right to use the completed project for portfolio reference purposes, unless the client objects in writing.
5. Delivery Times
Indicative delivery times are as follows:
- Showcase website: 5 to 15 business days
- E-commerce website: 15 to 30 business days
- Marketplace: 30 to 60 business days
- Institutional website: 30 to 90 business days
These timelines begin upon receipt of the deposit and all necessary materials (content, images, access). Any delay in providing materials by the client results in an equivalent postponement of the delivery deadline.
6. Warranties and Maintenance
Kolonell guarantees the proper functioning of deliverables for a period of 30 days following delivery. During this period, any bug or malfunction will be corrected free of charge.
Beyond this period, Kolonell offers maintenance contracts including:
- Security updates
- Regular backups
- Bug fixes
- Technical support via email and phone
- Minor modifications (depending on the chosen plan)
7. Termination
In the event of termination at the client's initiative before complete delivery, amounts already paid remain acquired by Kolonell as compensation for work performed. If the work performed exceeds the amounts paid, the client will be required to pay the difference.
Kolonell reserves the right to terminate the contract in the event of a serious breach by the client of their obligations, particularly in the event of non-payment within the agreed deadlines, after formal notice that has remained without effect for 15 days.
8. Force Majeure
Neither party shall be liable for non-performance of its obligations in the event of force majeure as defined by Sénégalese court jurisprudence, including but not limited to natural disasters, network outages, government actions or social conflicts.
9. Disputes
These Terms of Service are governed by Sénégalese law. In the event of a dispute relating to the execution or interpretation of these terms, the parties shall endeavor to find an amicable solution.
Failing amicable agreement within 30 days, the dispute may be submitted to arbitration in accordance with the OHADA Arbitration Rules (Organization for the Harmonization of Business Law in Africa), or brought before the High Court of Dakar, Sénégal.
