The verdict in three sentences
A growing marketplace rarely dies from lack of buyers: it dies from broken vendor reconciliation where nobody knows who is owed what. The right 2026 reflex is to compute the split at order time (vendor share, platform commission, VAT), hold the commission, then settle vendors in a weekly batch. Everything else — multi-vendor baskets, partial refunds, disputes — is just accounting discipline you set up from the very first naira.
Anatomy of a split on a ₦40,000 order
Take a single ₦40,000 order paid by the buyer. The platform applies a 15% commission. The vendor keeps 85%, minus a share of PSP fees. Here is the 2026 order-of-magnitude breakdown:
| Line | Amount (NGN) | Basis |
|---|---|---|
| Buyer pays | 40,000 | 100% |
| Gross platform commission | 6,000 | 15% |
| PSP fees (~1.4%) | 560 | platform bears |
| Net vendor share | 34,000 | 85% |
| Net platform commission | 5,440 | 15% − fees |
| VAT 7.5% on commission | 450 | on commission, not GMV |
Key tax point: Nigerian VAT of 7.5% applies to your commission (the service you provide), not to the full merchandise value. On ₦6,000 of commission, collected VAT is about ₦450. Confusing VAT-on-commission with VAT-on-GMV is what blows up a marketplace's books.
Multi-vendor baskets and partial refunds
The real test comes when one basket mixes several vendors. The buyer pays once, but the money must fan out into as many subaccounts as there are vendors. The cases to handle:
| Scenario | Split rule | Commission hold |
|---|---|---|
| 1 item, 1 vendor | 85 / 15 direct | immediate to ledger |
| 3 items, 3 vendors | split per line, pro rata | per vendor |
| Full refund | buyer reimbursed | commission voided |
| Partial refund | pro rata refunded item | commission recomputed |
| Open dispute | funds held | retained until arbitration |
| Shipping fee | assigned vendor or platform | per rule |
With Flutterwave subaccounts you can split at charge time, but the safest architecture still credits an internal ledger line by line and reserves a slice for disputes, then triggers real payouts once a week. A Wednesday partial refund becomes a reversing entry: no money to claw back from the vendor.
Mini case study
Chidi runs Naija Makers, a Lagos crafts marketplace with 40 active vendors. In November he processes 420 orders for a GMV of ₦10,080,000, average basket ₦24,000. At 15% commission the platform holds ₦1,512,000 gross. After ~1.4% PSP fees (₦141,000) and VAT on commission (~₦113,000 remitted), his net margin lands near ₦1,258,000 for the month. The remaining ₦8,568,000 is paid to the 40 vendors on Friday, each with a net statement. Before automation Chidi did this by hand and mis-stated ~3% of lines; the ledger cut the reconciliation gap below 0.2%.

FAQ
Does VAT apply to the whole order or just my commission?
Only your commission, because that is your service. On a ₦40,000 order at 15%, the 7.5% VAT applies to ₦6,000, i.e. ~₦450. The merchandise price remains the vendor's tax responsibility.
How do I handle a basket with 3 different vendors?
The buyer pays once, then the system splits per line pro rata and credits three separate ledger (or subaccount) entries. Each vendor sees their exact share; the platform holds commission on each of the three lines.
What happens with a partial refund after payout?
If the payout has not happened yet, you post a reversing ledger entry with no money movement. If it already happened, the amount is deducted from the vendor's next weekly payout — which is why a small reserve matters.
Do Flutterwave subaccounts split natively?
Yes, Flutterwave subaccounts can split at charge time, which is a real advantage in Nigeria. Even so, keeping an internal ledger as the source of truth protects you during refunds and disputes.
Do I need a dispute reserve?
Yes. Holding ~5% of the net vendor amount for 7 to 14 days covers late refunds and disputes without having to reclaim money already paid out.
